Terms of Use
1. Use of the Platform
ComplyBar Cloud ("the Platform") is a document governance and compliance intelligence service operated by ComplyBar. By accessing or using the Platform, you agree to be bound by these Terms of Use. If you do not agree, you must not use the Platform.
Access is granted to authorised users of subscribing organisations. Your organisation's administrator is responsible for managing user access and ensuring compliance with these Terms.
2. Demo and Pilot Limitations
During any free trial, pilot or demonstration period, the Platform may contain synthetic or sample data. Results generated during a pilot period are illustrative and are intended to support evaluation of the Platform's capabilities. Pilot reports and assessments do not constitute binding compliance certifications or legal opinions.
Note: See our Pilot and Demo Disclaimer for full details on the scope and limitations of demo and pilot outputs.
3. No Legal Advice
The Platform and all outputs - including reports, risk scores, assessments, classifications and recommendations - are provided for information and decision-support purposes only. Nothing on the Platform constitutes legal advice, legal certification, audit certification or regulatory approval.
You should consult qualified legal counsel, your organisation's Information Officer, or an accredited compliance professional for advice on your specific legal obligations.
4. User Responsibility
You are responsible for:
- Ensuring your use of the Platform complies with applicable law, including POPIA, the Electronic Communications and Transactions Act, and any applicable sector regulations.
- Obtaining any necessary consent from individuals whose information may be processed using the Platform.
- Reviewing and validating all automated suggestions, classifications and recommendations before acting on them.
- Maintaining appropriate governance policies and procedures within your organisation.
- Keeping your login credentials confidential and reporting any suspected unauthorised access promptly.
5. Acceptable Use
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable regulation.
- Attempt to reverse-engineer, decompile, disassemble or otherwise extract the source code of the Platform.
- Upload malicious files, scripts or payloads.
- Attempt to gain unauthorised access to other tenants' data or system components.
- Use automated tools to scrape, harvest or extract data from the Platform at scale.
- Resell, sublicense or redistribute access to the Platform without prior written authorisation.
6. Intellectual Property
The Platform, including all software, workflows, algorithms, designs, reports and associated documentation, is the proprietary property of ComplyBar or its licensors. All rights are reserved.
You are granted a limited, non-exclusive, non-transferable licence to use the Platform for your organisation's internal compliance management purposes only.
Patent Pending: Certain technologies and workflows incorporated in the Platform may be the subject of pending patent applications. See our IP Notice for further information.
7. Limitation of Liability
To the fullest extent permitted by applicable law, ComplyBar and its directors, employees and service providers will not be liable for any indirect, incidental, special, consequential or punitive damages arising from your use of the Platform, including any reliance on reports, scores or recommendations generated by the Platform.
Our total liability to you in respect of any claim arising from use of the Platform will not exceed the fees paid by your organisation in the three months preceding the claim.
8. Service Availability
We aim to maintain high availability of the Platform but do not guarantee uninterrupted access. The Platform may be unavailable during scheduled maintenance or as a result of circumstances beyond our reasonable control. We will endeavour to provide advance notice of planned maintenance where practicable.
9. Changes to These Terms
We may update these Terms from time to time to reflect changes in the Platform, legal requirements or our business practices. We will notify registered administrators of material changes. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
